Service terms

Version 2.3 · Last updated: 29 August 2026 · These terms replace all earlier versions for orders placed from this date.

Short version, in plain words. You send one supplier file, we return a Matrixify-ready import and a report of what is wrong in the data. The trial is free and lets you check the mapping before anything is paid. Your client stays your client. What you pay for becomes yours; the tooling that made it stays ours. Our liability is capped at what you paid for that order. Your files are deleted 30 days after delivery. Nothing renews automatically. The full text below wins over this summary if the two ever disagree.

1. Who these terms bind

These terms form the agreement between DK Automation (“we”, “us”), a trading name currently used by an individual resident in Bulgaria, and the party that places the order (“you”). In most cases you are a Shopify agency, developer or freelancer acting for your own client.

Before accepting a paid order, the provider will give the client its full legal identity and any registration, tax and invoicing details required for that specific engagement under applicable law.

You remain the customer of record and the only party we deal with. We do not contact the end merchant, do not solicit them, and do not accept them as a direct client for supplier-feed work, during the engagement or for twelve months after the last order you place. If you would rather we speak to your client directly, say so in writing and we will.

These terms apply to businesses. The service is not offered to consumers, and nothing here is intended to affect statutory consumer rights, because they do not arise.

2. Definitions

TermMeaning
FeedOne supplier product file in a single format, from a single supplier, delivered as a file, a download link or an FTP path.
SKU countThe number of distinct article numbers in the feed as delivered, counted before cleaning. Rows are not SKUs: a feed with 30,000 rows covering 9,000 article numbers is a 9,000-SKU feed.
DeliverableThe Matrixify-ready import file plus the audit report produced from one feed.
Usable fileA feed that opens, is readable, and contains at minimum an article number, a product title and a price, together with any store context we ask for in order to map it.
OrderOne feed processed once, at the price confirmed in writing for it.
Business dayMonday to Friday excluding public holidays in Bulgaria.
In writingIncludes email. A message from the address you have been corresponding from counts.

3. How an order is formed

Prices shown on the website are an invitation to enquire, not an offer capable of acceptance. An order exists only when both of the following have happened:

  1. we have confirmed in writing the scope, the price and the SKU band for that specific feed; and
  2. you have confirmed in writing that we should proceed.

Anything discussed before that, including estimates given before we have seen the file, is indicative only. If the file turns out to be materially different from what was described, we will re-quote before doing the work rather than absorb it silently or deliver something narrower than you expected.

4. Scope of the service

Unless we agree otherwise in writing for a specific order, the service is:

  1. reading one supplier feed and identifying what each column contains;
  2. cleaning and mapping that data into Shopify’s product model;
  3. producing a Matrixify-ready import file;
  4. producing an audit report listing the problems found, each with the row it came from and what we did about it;
  5. 30 days of monitoring of that same feed, as described in section 18.

The standard price band shown on the website covers feeds up to 10,000 SKUs.

Formats we accept

CSV in any common encoding and separator, XLSX, XML, and ZIP archives containing any of those. Column names may be in any language: the mapping is worked out from the data, not from a required header template, so a German or Spanish export is as workable as an English one. Delivery may be a file, a download link or an FTP path.

The service is described as “supplier CSV” because that is what most feeds are. If yours is a spreadsheet or an XML export, send it anyway — the format is not the constraint.

Not included unless separately agreed

Supplier APIs and authenticated endpoints; more than one feed per order; theme, app or storefront work; running the import into your live store; translation or copywriting of product content; image editing, hosting or re-hosting; SEO work; category taxonomy design beyond mapping what the supplier already provides; ongoing data entry; and any work on customer, order or pricing-rule data.

We do not run imports into a live store. We hand you a file. This is deliberate: the person with access to the store is the person who should decide when it changes.

5. The free trial

Before any paid work, we process up to ten products from your feed and return the report and an import file for them, at no charge. You review those ten products before asking us to continue.

If the mapping is not right for the store, there is no charge, no obligation, and you keep the report. The trial is offered once per feed. It is not a commitment by either side to proceed, and it does not create an order under section 3.

What happens if it is right. You approve the mapping in writing — an email saying so is enough. We then invoice the order, and we process the full catalogue once payment has cleared. Nothing is charged before you have seen the ten products and said yes.

6. Timing and what starts the clock

For the free trial, the 48-hour turnaround runs from the moment we hold a usable file as defined in section 2, together with the store context needed to map it, and not from the moment you place the order. For the full catalogue it runs from cleared payment (section 13).

If we ask a blocking question, the clock pauses until you answer. We will tell you plainly when that happens rather than let a deadline pass quietly. Turnaround is measured in hours, not business hours, but a file arriving on a Friday evening will in practice be answered on the following business day.

Turnaround is a target we take seriously, not a guaranteed delivery date, and missing it does not by itself entitle you to compensation. If we are late, tell us; if we are materially late and you no longer want the work, you may cancel that order and owe nothing for it.

7. What we promise

  1. To perform the work with the reasonable skill and care of a competent specialist in this field.
  2. To review the feed you send and identify the problems that are visible in the data supplied.
  3. To report every product we could not make import-ready, with the reason, rather than dropping it silently.
  4. Never to invent data. Where a supplier gives one article number covering several variants, we leave the per-variant SKU and barcode empty and flag the row. A generated identifier looks genuine to the next person and breaks reconciliation months later; we will not create that problem for you.
  5. To raise any blocking ambiguity with you before making a judgement call that changes the meaning of the data.
  6. To produce an import file that operates in MERGE mode at product, variant and image level and that creates no metafield columns, so that importing it cannot clear a field your store already holds. The worst case is that a value is not updated; it is never wiped.

8. What we expressly do not promise

We give no warranty, express or implied, beyond section 7. In particular we do not promise:

  1. sales, revenue, traffic, conversion or search ranking of any kind;
  2. that the supplier’s data is accurate, current, complete or lawful — we clean what we are given, we cannot verify that a price or a stock figure is true;
  3. that Shopify, Matrixify or any third party will accept every record, now or after a future change to their platform;
  4. that supplier image URLs will keep working — where a URL is signed and time-limited we flag it, but we cannot make someone else’s link permanent;
  5. that a supplier will not restructure its feed next month;
  6. uninterrupted or error-free operation of any third-party service, including Shopify, Matrixify, Cloudflare, Google or Stripe;
  7. any particular commercial outcome from the work.

To the fullest extent permitted by law, all terms, conditions and warranties implied by statute or common law are excluded from this agreement.

9. Your obligations and warranties

You warrant, each time you send us a file, that:

  1. you are authorised to share it with us and to have it processed for the purpose described;
  2. you hold the rights, or your client does, to the product content in it, including images, descriptions and trade marks, and that our processing of it will not infringe anyone’s rights;
  3. the file contains no data of the kind listed in section 10;
  4. the store context you give us is accurate;
  5. where the end merchant is your client, you have their instruction to engage a sub-processor for this work.

You remain responsible for every commercial, tax, legal and product decision made on the basis of the imported catalogue, and for reviewing the deliverable before importing it into a live store. You are expected to take a full export of the store before running an import, whoever prepared the file.

10. Data you must never send

Send product data only. Do not send store passwords, API tokens or keys, staff or customer credentials, payment-card data, customer lists, order histories, or any personal data of shoppers or staff.

If such data reaches us anyway, we will delete it as soon as we notice, tell you that we did, and not use, copy, retain or transmit it. This is an obligation on both sides: yours not to send it, ours to destroy it rather than quietly work around it. If we are unable to complete an order because a file had to be destroyed for this reason, that is not a failure on our part and the order may be re-quoted.

11. Delivery, review and acceptance

We deliver the import file and the audit report by email or by a download link, after payment for the order has cleared. The free trial — ten products and the report on them — is delivered before any payment and is yours to keep either way.

You have five business days from delivery to review the deliverable and tell us in writing about anything that does not match the agreed scope. We will correct anything that is our error, at no charge, under section 12.

If you do not raise anything within those five business days, or if you import the file into a live store before raising it, the deliverable is treated as accepted. Acceptance does not remove our obligation to fix our own errors under section 12; it fixes the point at which the order is complete for the purposes of payment and section 17.

12. Rework, changes and cancellation

Our error

If the deliverable is wrong because of a mistake on our side, we correct it at no charge and without limit on the number of attempts. Correcting our own work is not billable and never will be.

Import guarantee

If the delivered import file fails to import into Shopify through Matrixify because of an error in our transformation, we correct it at our own cost. If it is not corrected within two business days of you reporting it, we refund the setup fee for that feed.

This guarantee covers our transformation only. It does not cover faults in the source data that are reported in the audit report, the configuration of your store, the Matrixify plan in use, or an outage of Shopify or Matrixify.

Changed inputs

A different file, a newer export from the same supplier, a new field, an additional store, or a change to how the data should be mapped after work has started, is a new order. We will quote it before doing anything.

Cancellation by you

You may cancel an order at any time before delivery. If work has already started, we invoice the proportion actually performed, and we tell you what that proportion is before invoicing it. If nothing has started, nothing is owed.

Cancellation by us

We may decline or stop an order if the file cannot be made usable, if it contains data covered by section 10, if the work turns out to be materially outside the scope quoted, or if payment for an earlier order is overdue. In that case you owe only the part already delivered and accepted.

13. Price, payment and late payment

The standard price is $349 per feed up to 10,000 SKUs, and includes 30 days of monitoring. Larger or unusual feeds are quoted before work starts. Prices are in US dollars and exclude any taxes that may apply.

Payment comes before the full catalogue is processed, not after it is delivered. The order runs in this fixed sequence: free trial on ten products → your written approval of the mapping → invoice and payment of $349 → we process the full catalogue → we deliver the import file and the report → the included 30 days of monitoring start on delivery.

An invoice is payable within 7 days. We start the full catalogue when payment has cleared, and the 48-hour turnaround in section 6 runs from that moment, not from the date of the invoice. If you need different terms — a purchase order, split payment, or payment by your client — ask before approving; we will put whatever we agree in writing.

On overdue amounts we may charge interest at 1.5% per month or the maximum permitted by law if lower, and we may suspend work and monitoring on all of your orders until the balance is cleared.

Rights in the deliverable pass only on full payment (section 14). Until an order is paid in full, you have no licence to use the import file or the report, and any use of them is unauthorised.

Matrixify is a separate product sold by a third party. Its fees and plan limits are set by them, not by us, and are not included in our price. Check them directly before you buy.

14. Ownership of the result

What becomes yours. On receipt of full payment for an order, we assign to you all rights we hold in the output of that order — the import file and the audit report — to use, modify, reuse and pass to your client without restriction and without further payment.

What stays ours. The tooling that produces the output remains our exclusive property: the parsing engine, the column-detection rules, the validation logic, the monitoring scripts, the report structure and layout, and any general know-how, methods or techniques used. Nothing in this agreement transfers, licenses, escrows or grants any option over them. If you want the tooling itself, that is a separate negotiation and a separate document.

Your data stays yours. We claim no rights in the supplier data you send. We may retain non-identifying, aggregate technical knowledge learned from the work — for example that a given file format tends to break in a particular way — provided it identifies neither you, your client nor your supplier, and contains none of your data.

Publicity. We will not name you, your client or your supplier, publish any part of your data, or use your logo, without your prior written consent for each use.

15. Limitation of liability

Nothing in this agreement excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or anything else that cannot lawfully be limited. Subject to that:

  1. Cap. Our total aggregate liability arising out of or in connection with an order, whether in contract, tort including negligence, breach of statutory duty, or otherwise, is limited to the fees actually paid by you for that order.
  2. Excluded losses. We are not liable for loss of profit, loss of revenue, loss of sales, loss of business, loss of goodwill or reputation, loss of anticipated savings, loss or corruption of data, cost of procuring substitute services, or any indirect or consequential loss, however arising, even if we were told such loss was possible.
  3. Live-store risk. An import changes live store data. You are required by section 9 to review the report and the trial products and to hold your own export before importing. Where you import without doing so, that consequence is yours, and our liability for it is excluded entirely.
  4. Third parties. We are not liable for any act, omission, outage, policy change, rejection or data loss by Shopify, Matrixify, a supplier, a hosting provider, a payment provider or any other third party.
  5. Supplier data. We are not liable for the accuracy or lawfulness of the supplier data itself, including prices, stock figures, descriptions, images and their licensing.

Each of these limitations operates separately. If any of them is held unenforceable, the others continue to apply.

16. Your indemnity to us

You will indemnify us against all claims, damages, fines and reasonable legal costs arising from:

  1. a breach by you of the warranties in section 9;
  2. data reaching us in breach of section 10;
  3. a third-party claim that the product content you supplied — images, descriptions, trade marks — infringes their rights;
  4. your use, or your client’s use, of the deliverable in a way that goes beyond what we agreed in writing.

We will tell you promptly about any such claim, will not settle it without your agreement, and will let you conduct the defence at your cost if you want to. This clause is not a device for shifting our own mistakes onto you: it does not apply to anything caused by our breach of this agreement.

17. Time limit for claims

Any claim arising out of an order must be notified to us in writing within six months of delivery of that order, giving reasonable detail of what is said to be wrong. Claims notified after that period are excluded, to the extent the law allows.

The reason is practical rather than tactical: after six months the supplier file will have changed several times, and neither side can any longer tell whether a problem came from our work or from what happened afterwards.

18. Monitoring

Each order includes 30 days of monitoring of that same feed, starting on delivery. Monitoring means we re-check the supplier feed when a new version is available and tell you what changed: prices, stock, titles, images lost, articles added or removed.

Monitoring covers up to four updated versions of the same supplier file within the period. It does not include re-doing the mapping for a restructured feed, which is a new order.

After the included period, monitoring is optional at $99 per month. Nothing renews automatically. There is no stored payment method, no automatic charge and no cancellation notice to give: if you do nothing, monitoring simply stops. Continuing requires a fresh, explicit agreement each time.

Monitoring depends on the supplier making an updated file available to us in the same way as the original. If access changes, monitoring pauses until it is restored.

19. Files, storage and deletion

Supplier files you send, and the outputs made from them, are deleted no later than 30 days after delivery of the order.

If paid monitoring continues, the current supplier file and the last comparison snapshot are kept for as long as monitoring runs, and deleted 30 days after it ends.

Invoices and payment records are kept separately for as long as accounting and tax rules require, and are not deleted on request.

You may ask for earlier deletion at any time. If you do, monitoring stops with it, because there is nothing left to compare against, and we cannot later reproduce or re-supply a deliverable that has been deleted.

20. Data protection roles

Product catalogue data is not normally personal data. Where any personal data is nonetheless involved, the roles are:

We will: process only on your instructions; keep the data confidential; apply appropriate technical and organisational measures; not engage a further sub-processor without telling you first; delete the data as set out in section 19; and notify you without undue delay if we become aware of a personal data breach affecting it, giving what we know so that you and your client can act. We do not decide on anyone’s behalf whether a notification to a regulator is required — that is the controller’s decision.

Assistance with data-subject requests, audits or regulator correspondence is provided at your cost and on reasonable notice, except where our own breach caused the issue.

Where a formal data-processing agreement is required by your client, we will sign a reasonable one. In the event of a conflict, that agreement prevails over this section for data-protection matters only.

21. Confidentiality

Each side will keep the other’s non-public information confidential, use it only for this engagement, and protect it with at least the care it uses for its own confidential information. This does not apply to information that is already public, was already known without an obligation of confidence, is independently developed, or must be disclosed by law — and in that last case the disclosing side will say so first where it is lawful to do so.

These obligations continue for three years after the last order.

22. Where the work happens

The work is carried out by one person resident in Bulgaria, on that person’s own equipment and on infrastructure operated by Cloudflare. Email is received through Cloudflare Email Routing and a Google mailbox. Payments are processed by Stripe.

No part of the work is subcontracted, and no file is shared with any other party, without your prior written agreement. If that ever changes, this section changes first and you will be told before it applies to your data.

23. Suspension and termination

Either side may terminate this agreement on written notice if the other commits a material breach and does not remedy it within 14 days of being asked to.

We may suspend work and monitoring immediately if an invoice is more than 14 days overdue, or if continuing would put us in breach of law or of a third party’s terms.

Termination does not affect orders already delivered and paid, and does not affect sections 10, 14 to 17, 19, 20, 21, 27 and 28, which survive.

24. Events outside our control

Neither side is liable for failure or delay caused by events beyond its reasonable control, including outages of Shopify, Matrixify or a hosting provider, loss of internet access, supplier failure, serious illness, natural events, or acts of government. We will tell you as soon as we know, and if such an event continues for more than 30 days either side may cancel the affected order with no further liability.

Being a one-person business is not an event outside our control, and we do not treat it as one. If we cannot deliver, we say so and refund what was paid for undelivered work.

25. Independent contractor

We are an independent contractor. Nothing here creates a partnership, joint venture, agency or employment relationship, and neither side may bind the other or hold itself out as able to. You may present the work to your client as your own; you remain responsible to them for it.

26. Which document wins

These terms, together with our written confirmation of scope and price for an order, are the entire agreement for that order and replace anything discussed beforehand.

Your standard purchase terms, portal terms, supplier-onboarding terms or terms printed on a purchase order do not apply unless we have signed them specifically for this engagement. Sending a document does not make it binding on us, and beginning work does not amount to accepting it.

If we do sign a separate agreement with you, the order of precedence is: that signed agreement, then any data-processing agreement for data-protection matters, then these terms, then the summary box at the top of this page.

27. Governing law and disputes

This agreement, and any dispute arising from it including non-contractual disputes, is governed by the law of Bulgaria, and the courts of Bulgaria have exclusive jurisdiction.

Before either side starts a formal proceeding, it will raise the issue in writing and allow 14 days for the other to respond and try to resolve it. This does not prevent either side from seeking urgent injunctive relief where it is genuinely needed.

Each side bears its own costs of any negotiation under this section.

28. General

Assignment. Neither side may assign this agreement without the other’s written consent, except that either may assign it to a successor of substantially the whole of its business.

Third parties. No one other than you and us has any right to enforce any part of this agreement, including your client.

Severability. If any provision is held unenforceable, it is modified to the minimum extent needed to make it enforceable, or struck out if that is not possible, and the rest continues in force.

No waiver. A delay or failure to enforce any right is not a waiver of it.

Notices. Notices are given by email to the addresses used for the engagement, and are treated as received on the next business day.

Language. These terms are written in English. If they are translated, the English text prevails.

29. Changes to these terms

We may update these terms. The version that applies to an order is the version published on this page when that order was confirmed under section 3. We do not apply changes retrospectively to work already agreed.

Each version carries a number and a date at the top of this page, so you can see which one you agreed to.

30. Contact

Questions about scope, these terms, or anything you would like changed for a specific engagement: hello@dkautomation.dev. We would rather agree a change in writing beforehand than argue about a clause afterwards.
